Terms of Service

1. Agreement to These Terms

By accessing, browsing, creating an account on, or placing an order through galiltec.com (the "Site"), you ("you" or "User") enter a binding contract with Galiltec S.A. de C.V.("Galiltec," "we," "us," "our"). If you do not agree, do not use the Site.

You must be 18 years or older (or the age of majority where you live) and have legal capacity to contract. The Site is not directed to minors.

2. What We Provide

• Information & Resources – product specifications, cultivation guidance, company news.
• B2B Ordering – registered business users may place purchase requests for live plants or related items produced by Galiltec.
• Account Dashboard – manage orders, subscriptions, and uploaded agronomic data.
• Subscriptions – where offered, recurring plant-delivery plans subject to these Terms and any schedule shown at checkout.

3. Accounts & Acceptable Use

• Provide accurate information and keep your credentials confidential.
• You are liable for all activity under your login. Notify support@galiltec.com immediately of unauthorised use.
• Prohibited conduct: scraping, reverse-engineering, uploading malware, infringing IP, posting unlawful or obscene content, or violating export-control or phytosanitary rules.

Galiltec may suspend or terminate any account—without notice—if you breach these Terms or applicable law.

4. User-Generated Content

If you upload documents (e.g., purchase specs, field data), you grant Galiltec a world-wide, non-exclusive, royalty-free licence to host, reproduce, and process that content solely to operate the Site and fulfil contracts. You warrant that you have all rights to the content and it does not infringe third-party rights or contain sensitive personal data.

5. Purchase, Payment & Taxes

Payment methods:

• Credit/debit cards processed through Stripe, and
• Bank transfers (SWIFT or ACH) processed through Wise.

Any additional payment option shown at checkout is also subject to these Terms.

Payment capture: Charges are taken when you confirm an order unless a different schedule is set out in the Plant Sale Contract.

Pricing & taxes: Prices exclude Honduran sales tax (ISV) unless explicitly stated. For exports outside Honduras, you are responsible for any import VAT, duties, or other destination-country charges.

Invoices & receipts are issued electronically.

6. Shipping, Delivery & Transfer of Risk

We ship worldwide under the Incoterms® rule specified in the Plant Sale Contract. Title and risk of loss transfer according to that Incoterm. Transit and phytosanitary documentation are your responsibility unless the Contract states otherwise.

7. Returns, Cancellations & Refunds

Live plants are perishable. Any right to cancel, return, or receive credit is governed exclusively by the Plant Sale Contract or mandatory consumer-protection law that cannot be waived. Unless such provisions apply, all sales are final.

8. Intellectual Property

All Site content—including text, graphics, logos, plant-clone intellectual property, and compilations—is the property of Galiltec or its licensors and protected by Honduran, U.S., and international laws. You receive a limited, non-transferable licence to access and use the Site for legitimate business purposes; no other rights are granted.

9. "As-Is" Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE,"WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Galiltec does not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, GALILTEC'S TOTAL LIABILITY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) WILL NOT EXCEED THE AMOUNT YOU PAID GALILTEC FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. GALILTEC WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DATA, OR BUSINESS INTERRUPTION). Some jurisdictions disallow certain limitations; they apply only to the extent permitted.

11. Governing Law & Dispute Resolution

These Terms and any dispute are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. You and Galiltec agree to the exclusive jurisdiction of the state and federal courts in Miami-Dade County, Florida, and waive any objection to venue or forum non conveniens.

12. Updates to These Terms

Galiltec may modify these Terms at any time. Material changes will be emailed to registered users and posted on the Site with a new "Last Updated" date. Continued use after changes take effect constitutes acceptance.
